The Legal Framework Behind the Platform.

Terms of use, disclaimers, compliance obligations, intellectual property, and liability governing every GloTrade engagement.

1. Entity and Terms of Use

The GloTrade platform is operated by Global Trade Development LLC ("GloTrade"). By accessing glotrade.co, any GloTrade subdomain, the Deal Room, Clusters, programmes, events, or communications, you agree to these terms. If you access the platform on behalf of an organisation, you confirm you have authority to bind that organisation.

2. No Investment, Legal, Tax, or Professional Advice

Nothing on the platform constitutes investment advice, a recommendation, legal advice, tax advice, accounting advice, or a solicitation to buy or sell any security, instrument, commodity, or interest in any project. Content is provided for information purposes to professional, institutional, and business users. You are solely responsible for your own due diligence and for obtaining independent professional advice before acting.

3. No Offer and No Brokerage Relationship

Opportunities displayed in the Deal Room or elsewhere are indicative summaries prepared for network participants. They are not offers, prospectuses, offering memoranda, or invitations to subscribe in any jurisdiction, and they are not directed at any person in a jurisdiction where such distribution would be unlawful. GloTrade acts as a connector and facilitator; unless expressly agreed in a signed written mandate, GloTrade is not your broker, dealer, agent, fiduciary, trustee, or adviser.

4. Eligibility and Verification

Access to gated environments may be restricted to verified organisations, qualified or professional investors, and vetted counterparties. GloTrade may request documentation, conduct screening, and grant, refuse, suspend, or withdraw access at its sole discretion and without stating reasons.

5. Compliance, Sanctions, and Anti-Corruption

You represent and warrant, on a continuing basis, that you and your beneficial owners:

  • are not subject to sanctions administered by the United States, United Nations, European Union, United Kingdom, or any other applicable authority;
  • will comply with applicable anti-money-laundering, counter-terrorist-financing, export control, customs, and anti-bribery legislation, including the US Foreign Corrupt Practices Act and the UK Bribery Act;
  • will not use the platform to launder proceeds of crime, evade sanctions or duties, trade restricted or prohibited goods, or misrepresent the origin of goods or funds.

GloTrade may screen, report, suspend, and terminate access where it suspects a breach, and may disclose information to competent authorities without notice where legally required.

6. Accuracy of Submitted Information

Users are responsible for the accuracy, completeness, lawfulness, and authorisation of all information, documents, and third-party data they submit. Submitting false, misleading, or unauthorised material is a material breach of these terms and may result in permanent removal from the network, in addition to any legal remedy available to GloTrade or affected counterparties.

7. Third-Party Content and Links

The platform includes information supplied by counterparties, partners, public sources, and machine translation services, and may link to third-party sites. GloTrade does not verify, endorse, or assume responsibility for such content. Translated content is provided for convenience only and the English version prevails.

8. Intellectual Property

The GloTrade name, logo, emblem, wordmark, division names, Tradecast, GloTrade Institute, GloTrade 100, Clusters, page designs, data compilations, research, and software are owned by or licensed to Global Trade Development LLC and protected by intellectual property laws. You may view and share content for internal business purposes with attribution. Any reproduction, scraping, redistribution, framing, model training, or commercial exploitation without prior written permission is prohibited.

9. Confidentiality

Material accessed through gated environments is confidential. Recipients must not disclose it to third parties, use it other than to evaluate a potential transaction with GloTrade or the relevant counterparty, or circumvent GloTrade in respect of introductions made through the platform. Non-circumvention obligations survive termination of access for a period of twenty-four months.

10. Disclaimers and Limitation of Liability

The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. To the maximum extent permitted by law, GloTrade, its affiliates, officers, employees, and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profit, revenue, data, goodwill, or business opportunity, arising from use of the platform or any transaction introduced through it. GloTrade's aggregate liability arising out of or relating to the platform shall not exceed the greater of the fees you paid to GloTrade in the twelve months preceding the claim or USD 100.

11. Indemnity

You agree to indemnify and hold harmless GloTrade and its affiliates against any claim, loss, liability, penalty, or expense (including reasonable legal fees) arising from your use of the platform, your submissions, your breach of these terms, or your violation of applicable law or third-party rights.

12. Forward-Looking Statements

Projections, market sizing, pipeline figures, target returns, and statements regarding potential trade volumes are forward-looking, based on assumptions, and subject to material risk and change. They are not guarantees. Past performance is not indicative of future results.

13. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes shall first be addressed through good-faith negotiation for thirty days, and thereafter finally settled by binding arbitration seated in Washington, D.C., conducted in English under internationally recognised commercial arbitration rules. Each party waives any right to participate in class proceedings. Nothing prevents either party from seeking injunctive relief to protect confidential information or intellectual property.

14. Changes, Severability, and Notices

GloTrade may amend these terms at any time; the posted version governs. If a provision is found unenforceable, the remainder stays in force. Formal legal notices must be sent to legal@glotrade.co. Data protection matters are covered by our Privacy Policy.
